TaskProof Terms of Service 

These Terms of Service govern your access to and use of our virtual assistant (VA) services. By engaging with Taskproof, you agree to comply with these terms. If you do not agree with any part of these terms, you must discontinue use of our services immediately. We reserve the right to modify these terms at any time, and continued use of our services after modifications constitutes acceptance of the revised terms.

1. Introduction and Scope

Taskproof is a virtual assistant service provider that connects businesses and individuals with skilled professionals to support their administrative, creative, and operational needs. These Terms of Service apply to all clients, users, and any parties who access or utilize our services, whether paid or unpaid.

By using Taskproof, you acknowledge that virtual assistant services do not include licensed professional services such as legal, financial, or medical advice. Any advice provided by our VAs should be verified independently before action is taken.

2. Client Responsibilities

As a client, you agree to provide accurate information necessary for service fulfillment. You are responsible for ensuring that the tasks assigned to our VAs comply with all applicable laws and ethical standards. Clients may not request tasks involving:

  • Illegal activities

  • Fraudulent schemes

  • Misrepresentation or impersonation

  • Unethical business practices

  • Any activity that may damage the reputation of Taskproof

You are solely responsible for any information or materials you provide to our VAs. Taskproof is not liable for losses or damages resulting from incomplete, inaccurate, or misleading instructions given by the client.

3. Service Provision

Taskproof provides virtual assistant services as per the client’s selected plan. Our services are designed to support business and personal needs, but we do not guarantee specific outcomes. We aim to deliver high-quality assistance within agreed-upon timelines. However, Taskproof is not responsible for delays due to unforeseen circumstances, including but not limited to:

  • Technical issues or software malfunctions

  • Natural disasters or emergencies

  • Internet connectivity problems

  • Client delays in providing necessary information

4. Payment and Billing

All payments must be made according to the pricing structure outlined in the client’s service agreement. Taskproof offers different pricing models, including hourly rates, monthly retainers, and project-based pricing. Payments are due in advance unless otherwise agreed.

Failure to make timely payments may result in service suspension or termination. If a payment method fails or a chargeback occurs, Taskproof reserves the right to collect unpaid amounts using any legal means available, including engaging collection agencies.

We do not offer refunds for completed work. If a client disputes a charge, they must contact us within 10 business days of the charge appearing on their account. Any billing disputes must be resolved before further services can be rendered.

5. Confidentiality and Data Protection

Taskproof and its VAs uphold strict confidentiality standards. We implement security measures to protect client data. However, no online data transmission can be guaranteed as completely secure. Clients are responsible for sharing sensitive information at their own risk.

Clients may request a Non-Disclosure Agreement (NDA) for added protection. Taskproof will take reasonable steps to prevent unauthorized access, disclosure, or misuse of client information. However, Taskproof is not liable for any third-party breaches, hacking, or accidental data leaks beyond our control.

6. Intellectual Property Rights

All materials, documents, or intellectual property created by our VAs on behalf of a client remain the property of the client upon full payment. Taskproof retains no rights to completed work, unless otherwise agreed.

Clients agree not to claim ownership of proprietary tools, templates, or systems developed by Taskproof that may be used during service provision. Unauthorized reproduction or distribution of such materials is strictly prohibited.

7. Service Modifications and Termination

Taskproof reserves the right to modify services, pricing, or terms without prior notice. Clients may terminate services at any time by providing written notice. However, payments made for services already rendered will not be refunded.

Taskproof may terminate services without liability if:

  • A client violates these Terms of Service

  • A client engages in abusive or fraudulent activity

  • Taskproof determines that continued service provision is not viable

If a client wishes to resume services after termination, a new agreement must be established, and fees may apply.

8. Limitation of Liability

Taskproof, its affiliates, and employees are not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services. This includes but is not limited to:

  • Loss of revenue or business opportunities

  • Errors in work provided by VAs

  • Service interruptions beyond Taskproof’s control

Our total liability shall not exceed the amount paid by the client for services in the three months preceding the claim.

9. Dispute Resolution

Clients agree to resolve disputes informally by contacting Taskproof support before pursuing legal action. If no resolution is reached within 30 days, disputes shall be resolved through arbitration in Davao, Davao Del Sur, Philippines.

Legal proceedings, if necessary, will be conducted in the courts of Davao, Davao Del Sur, Philippines. Clients waive their right to participate in class-action lawsuits against Taskproof.

10. Indemnification

Clients agree to indemnify and hold Taskproof, its affiliates, and employees harmless from any claims, damages, or losses arising from:

  • Breach of these Terms of Service

  • Unauthorized use of Taskproof services

  • Violation of third-party rights

11. Force Majeure

Taskproof is not liable for delays or failure to perform obligations due to unforeseen circumstances, including but not limited to:

  • Natural disasters

  • Acts of war or terrorism

  • Government actions or regulations

  • Technical failures beyond our control

12. Third-Party Services

Taskproof may use third-party tools or integrations to enhance service delivery. Clients acknowledge that these tools are subject to their respective terms and policies, and Taskproof is not responsible for third-party service failures.

13. Relationship Between Taskproof and Clients

Clients acknowledge that Taskproof acts as an independent contractor. Nothing in this agreement creates an employer-employee relationship, partnership, or joint venture between Taskproof and the client. Clients may not control, direct, or dictate how Taskproof provides services beyond agreed-upon scope.
